Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you", "your", or "User") and AIUI inc. ("AIUI inc.", "we", "us", or "our"), the operator of Permissible (the "Service"), available at permissible.io and through related channels such as email and SMS.

By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service Is Informational Only

Permissible is an informational and research tool. It uses automated systems, including artificial intelligence ("AI"), to gather, summarize, and present information about permits, regulations, and related requirements for transport and other activities across jurisdictions in North America.

The Service is provided for general informational purposes only. It is not a substitute for, and does not constitute:

  • legal, regulatory, engineering, safety, tax, financial, or other professional advice;
  • an official determination of what permits, routes, escorts, fees, or conditions apply to you or any load, project, vehicle, or activity;
  • a permit, license, authorization, or approval of any kind; or
  • confirmation that any activity is lawful, safe, or compliant.

No professional or advisory relationship is created between you and AIUI inc. by your use of the Service.

2. No Reliance — You Must Independently Verify

Permits and regulations change frequently, vary by jurisdiction, and depend on facts specific to your situation. Information provided by the Service may be incomplete, out of date, inaccurate, or wrong, including for the reasons described in the "AI-Generated Content" section below.

You must independently verify all information through the official government sources and the relevant permitting, transportation, and regulatory authorities before acting on it. Do not rely on the Service as the sole basis for any decision. When the Service conflicts with an official source or authority, the official source or authority controls.

You are solely responsible for obtaining the correct permits and approvals, complying with all applicable laws and regulations, and operating safely and lawfully.

3. AI-Generated Content

Output from the Service is generated in whole or in part by automated and AI systems and by extraction from third-party sources. Such output:

  • may contain errors, omissions, fabricated or "hallucinated" details, outdated figures, or misinterpretations of source material;
  • is produced without human review of each response; and
  • is not warranted to be accurate, complete, current, or fit for any purpose.

Citations, links, and references the Service provides may be inaccurate or may not support the statements they accompany. Treat all output as a starting point for your own verification, not as authoritative.

4. Eligibility and Accounts

You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" includes that organization.

You are responsible for activity that occurs under your account or through your use of the Service, including via email or SMS channels associated with you, and for keeping your credentials secure. Notify us promptly at support@permissible.io of any unauthorized use.

5. Acceptable Use

You agree not to:

  • use the Service in any way that violates any applicable law or regulation;
  • rely on the Service as a substitute for required professional advice or official authorization, or represent its output as such to others;
  • attempt to probe, scan, overload, disrupt, or circumvent the Service's security, rate limits, or access controls;
  • reverse engineer, scrape, or extract data from the Service except as expressly permitted, or use it to build a competing product;
  • submit content that is unlawful, infringing, malicious, or that you do not have the right to submit; or
  • attempt to manipulate the Service's AI systems to produce harmful, misleading, or unauthorized output (including prompt injection against the Service or the sources it reads).

We may suspend or terminate access that we reasonably believe violates these Terms or threatens the Service or other users.

6. Your Content

You retain ownership of the information, questions, project details, routes, and other materials you submit ("Your Content"). You grant AIUI inc. a non-exclusive, worldwide, royalty-free license to host, process, transmit, and use Your Content as necessary to operate, secure, and improve the Service, including processing by the third-party providers described in our Privacy Policy.

You represent that you have the rights necessary to submit Your Content and that doing so does not violate any law or third-party right.

7. Intellectual Property

The Service, including its software, design, text, and the compiled and generated content we make available (excluding Your Content and third-party materials), is owned by AIUI inc. or its licensors and is protected by intellectual-property laws. Underlying laws, regulations, and government materials are not owned by us. We grant you a limited, revocable, non-transferable license to use the Service for its intended purpose, subject to these Terms.

8. Third-Party Sources, Links, and Services

The Service draws on, links to, and integrates third-party sources and services (including government publications, mapping and routing providers, and AI providers). We do not control and are not responsible for third-party content, websites, services, or their accuracy, availability, or practices. Your use of any third-party service is governed by that third party's own terms.

9. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT AND OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, AIUI INC. DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, AIUI inc. does not warrant that the Service or any output will be accurate, complete, current, reliable, lawful, error-free, uninterrupted, secure, or fit for your purpose, or that the Service will meet your requirements. No advice or information, whether oral or written, obtained from the Service creates any warranty not expressly stated in these Terms.

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the exclusions above apply to the maximum extent permitted by law.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, AIUI INC. AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, OR FOR ANY FINES, PENALTIES, CITATIONS, DELAYS, IMPOUNDMENT, PROPERTY DAMAGE, PERSONAL INJURY, OR DEATH, ARISING OUT OF OR RELATED TO YOUR USE OF — OR INABILITY TO USE — THE SERVICE OR ANY OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE LEGAL THEORY.

This includes, without limitation, any loss or harm resulting from your reliance on information provided by the Service; from the Service being inaccurate, incomplete, outdated, or unavailable; or from any permit, route, regulation, or compliance decision made using the Service.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF AIUI INC. FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US, IF ANY, FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). Because the Service is currently provided free of charge, you acknowledge that this limitation reflects the allocation of risk between us.

Some jurisdictions do not allow the limitation or exclusion of certain damages; in those jurisdictions, our liability is limited to the maximum extent permitted by law.

11. Assumption of Risk

Transport, oversize/overweight movement, permitting, and related activities are inherently risky and heavily regulated. You knowingly and voluntarily assume all risk arising from your use of the Service and from any action or decision you make based on it. You are solely responsible for the safety and legality of your operations, for verifying requirements with the relevant authorities, and for the consequences of any non-compliance.

12. Indemnification

You agree to defend, indemnify, and hold harmless AIUI inc. and its owners, officers, employees, agents, and suppliers from and against any claims, demands, losses, liabilities, fines, penalties, damages, and costs (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service or any output; (b) Your Content; (c) your violation of these Terms or any law; or (d) any decision or action you or a third party takes in reliance on the Service.

13. Availability and Changes to the Service

We may modify, suspend, or discontinue the Service or any part of it at any time, with or without notice. We do not guarantee any level of availability, uptime, or data retention. We may impose limits on use, including rate limits and account caps.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without cause or notice. Sections that by their nature should survive termination — including those on informational scope, disclaimers, limitation of liability, indemnification, assumption of risk, intellectual property, and governing law — survive.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. Subject to any non-waivable rights you have under applicable law, you agree that any dispute arising out of or related to the Service or these Terms will be resolved exclusively in the state or federal courts located in that jurisdiction, and you consent to their personal jurisdiction and venue. Any claim must be brought within one year after it arises, to the extent permitted by law.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes may be communicated through the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.

17. Miscellaneous

If any provision of these Terms is held unenforceable, the remaining provisions remain in full effect, and the unenforceable provision will be enforced to the maximum extent permitted. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service.
